POSITION SUMMARY

Since Axiom Space is a very complex work environment, we are looking for a resilient, high-energy Paralegal who will provide critical legal and administrative support to the Legal Department, with a primary focus on assisting the Corporate Secretary function and Finance/Accounting teams. This role supports corporate governance, board administration, and finance-related legal matters. The ideal candidate is detail-oriented, highly organized, and comfortable working cross-functionally with executive leadership, finance, and external advisors.


KEY RESPONSIBILITIES

Corporate Secretary & Governance Support

  • Assist in the preparation, coordination, and distribution of Board of Directors and Committee materials (agendas, resolutions, minutes, and presentations).

  • Maintain corporate records, minute books, governance documents, and subsidiary records.

  • Support corporate filings and compliance requirements (e.g., annual reports, state filings, governance disclosures).

  • Coordinate logistics for board meetings, including scheduling, document management, and follow-ups.

  • Assist with implementation and maintenance of corporate governance policies and procedures.

  • As needed, support initiatives designed to enhance the Company’s readiness for potential future public company requirements or other strategic transactions (e.g., securities law filings, trading compliance, equity plan administration).


Finance & Accounting Legal Support

  • Assisting with due diligence for M&A, financing rounds, or asset purchases (organizing data rooms, reviewing disclosure schedules).

  • Preparing closing checklists and closing binders for strategic and financing transactions or credit agreements.

  • Supporting loan/credit facility documentation and covenant and legal compliance tracking.

  • Gathering documents requested by internal or external auditors.

  • Assisting with responses to auditor confirmation letters (legal confirmation requests regarding litigation, contingencies).


Contract & Legal Operations Support

  • Manage and maintain legal contract databases, document management systems, and legal database systems.

  • Assist in drafting, reviewing, and tracking standard agreements (vendor agreements, engagement letters, etc.).

  • Coordinate with internal stakeholders on contract status and execution workflows.

  • Support legal operations, including vendor billing, legal spend tracking, and outside counsel coordination.


Risk, Compliance & Other Legal Functions

  • Assist with enterprise risk management, ethics, and compliance initiatives.

  • Support litigation tracking and document preservation processes.

  • Maintain confidentiality and handle sensitive legal and financial information with discretion.

  • Perform additional job duties as assigned.


QUALIFICATIONS

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.


Education & Experience

Required

  • Bachelor’s degree or Paralegal certificate required.

  • 5+ years of paralegal experience, preferably in a public company, law firm, or corporate legal department.

  • Experience supporting corporate governance, securities filings, or finance-related legal work strongly preferred.

  • Familiarity with SEC regulations, corporate recordkeeping, and board processes is a plus.

Preferred

  • Experience working with Corporate Secretary or General Counsel functions.

  • Exposure to public company reporting and governance frameworks.

  • Familiarity with finance, accounting processes, or capital markets activities.

WORK ENVIRONMENT:

Generally, an office environment, but can involve inside or outside work depending on the task.


Requirements 

  • This position may require access to export controlled technical data or technology subject to NASA regulations, International Traffic in Arms Regulations (ITAR), or Export Administration Regulations (EAR). In accordance with U.S. export control laws, final candidates may be required to undergo additional export control screening to determine eligibility for access. Meeting these requirements is a condition of employment.

  • Management has the prerogative to select at any level for which the position is advertised.

  • Must be willing to work evenings and weekends as needed to meet critical project milestones.


Physical Requirements

  • Work may involve sitting or standing for extended periods (90% of the time)

  • May require lifting and carrying up to 25 lbs. (5% of the time)
