If you’re looking for new opportunities, and ready to join a high-skilled multicultural team, willing to travel (up to 30% of your time on certain peaks), we are now looking for a Legal Counsel  to join the Legal Team, to be based in Spain, preferably in Madrid area JOB SITE: Serrano Galvache – Madrid C. de Serrano Galvache 56 (Centro empresarial parque norte) / Metro Bambú, some days in Leganes (team building)
 

What will you do?

As a Legal & Contract Manager within Thales, you will:

  • In close coordination and under the supervision of Thales Spain Legal Director, the Legal Counsel shall:

  • In business and contractual matters, the candidate should demonstrate expertise in drafting, reviewing, negotiating, and managing contracts, with a strong focus on risk identification and mitigation. Familiarity with public procurement regulations, including the Public Sector Contracts Law, is required, as well as experience supporting tenders and business opportunities from negotiation through execution. The role demands protecting the Group’s interests while ensuring compliance with internal policies and applicable regulations. Ensure that the Group’s rights and reputation in its business interests are properly protected at country level, providing clear and well-drafted agreements; identifying and mitigating contractual risks; providing contract interpretation and ensure that contractual obligations are properly explained and understood by the relevant Company functions in accordance with the Group policies; and assurance of a contract management approach, in identifying risks, mitigations, lots of profit and/or increase in financial figures. Provide legal support for the new tenders and business opportunities, from the negotiation phase till the execution of the relevant agreements, in compliance with the applicable internal processes and relevant regulations and ensure the relevant follow-up in contract execution phase. Manage contractual issues and, on a case-by-case basis, with the support of external experts’ certain litigation issues falling within the perimeter of the concerned BL in close coordination with the Thales Spain L&C Director and Iberia Region L&C Director, supporting in the management of the external Law firms in accordance with the Group policies.

  • The candidate must have solid experience in corporate matters, including notarial deeds such as powers of attorney and the formalization of Board and Shareholders’ meeting minutes. Practical knowledge of Commercial Registry procedures is required, including obtaining certificates, filing, and registering corporate documents, and managing routine corporate formalities. Practical knowledge of corporate law.

  • For compliance and regulatory responsibilities, the candidate must contribute to the implementation and monitoring of the Group Integrity Compliance Program, internal KYC program (called “TPIA”), covering anti-corruption, data protection, cybersecurity, and related areas. The position also requires delivering training, performing regulatory analyses, and maintaining a proactive, open mindset toward emerging regulations, such as the artificial intelligence one. Contribute to ensure that the Group Integrity Compliance Programme (including Anticorruption, Antitrust and Personal Data Protection, Cyber, Duty of Care and IA) and the necessary action plans are strictly monitored, updated and implemented, in accordance with the Group policies and within the frame of the Country applicable legal requirements. Demonstrate a strong understanding of governance and corporate principles and operations, including but not limited to regulatory compliance, risk management, and corporate governance documentation; ability to effectively navigate complex corporate structures and contribute to strategic decision-making processes.
  • Make the appropriate reporting to Thales Spain L&C Director and Iberia Region L&C Director and cooperate with the L&C team for any legal matter.

About You

To succeed in this job, you should have:

Graduated in Law. English fluency is a MUST.

Minimum 5-6 years’ experience in an international environment and a similar role.

Expertise in Spanish Public Procurement law, commercial contracts reviewing and negotiation, and Company Law Regulations and Compliance best practices, including new regulations related to Cyber and IA, both for Spain and the European Union and international environment.

Contract management approach

Technical skills:
