Legal Counsel (d/f/m)

to join the Legal Team (LTS) providing mainly support to the Space Systems Business Unit.

You will be part of a team providing legal support to Sales, Finance, Program, Engineering and Procurement departments for Space Systems. You may also be asked to provide legal support to transactions involving both Space Systems and Connected Intelligence Business Units.

Your tasks and responsibilities       

As part of an international team, you will provide comprehensive legal expertise to commercial/operational teams in an international context:

• You will actively contribute to the reduction of exposure in commercial contracts and industrial set-ups (notably for the sale of satellites) by identifying and analysing risks triggered by the transaction and advising/briefing commercial colleagues in a timely manner to enable them to make well-informed decisions;

• You will provide inputs and attend Screening Reviews and in some cases Risk Management Committee meetings to represent LTS;

• You will provide operational staff, within the timing required by the transaction, advice in different areas of business law such as contract law, bank guarantees, IT law, IP law and public (including ESA) procurement law;

• You will be an active member of the project team in the preparation phase of national and international invitation to bid, in the appraisal of the terms and conditions of Request For Proposal /Invitation To Tender and in the drafting of contracts;

• You will asked to identify legal risks and propose mitigation actions/solutions;

• You will draft and negotiate transaction documents (teaming agreement, cooperation agreement, purchase contract, sales contracts etc), in cooperation with the other relevant departments; identify risk arising from the transactions and propose solutions to eliminate or minimise the risks;

• And where applicable, you will provide legal support in obtaining Export Credit Agencies (ECA) support/financing;

• When possible, you will propose, draft (and update when appropriate) standard contracts;

• You will manage the situations arising from suppliers being put into administration and provide support to claim management with suppliers and customers;

• You will provide support to the M&A team for M&A transactions involving Space Systems;

• You will define strategies in order to avoid litigations and, in case of litigation, provide support to the litigation team;

• You will contribute in developing and providing legal and compliance awareness to business and commercial colleagues;

• You will be asked to instruct and manage, when relevant, relationship with external legal advisors;

• You may also be involved in amendments or improvements to internal processes;

• Together with the other team members, you will contribute to the evolution of the organisation of Space Systems’ legal department;

• You will also provide support (including training and supervision) to other colleagues and trainees.

Desired skills and qualifications

• Advanced Law degree in German Law

• Qualified legal expert with international experience

• Background in contract law, experience in negotiating contracts

• IP and public procurement law would be an asset

• Willing to contribute to and evolve in an empowering organisation

• Fluent in English and French would be an asset

• Available to travel

• Ability to manage German eyes only projects

• Ability to work efficiently to meet demanding deadlines while ensuring that the risks for Airbus are identified, mitigated and limited

• 5-10 years of experience within a multi-national company with industrial background or international law firm

Deine Aufgaben und Verantwortlichkeiten

Als Teil eines internationalen Teams bieten Sie den kommerziellen und operativen Einheiten umfassende

Rechtsexpertise im internationalen Kontext:

• Aktive Mitwirkung an der Risikominimierung in kommerziellen Verträgen und industriellen Konstellationen (insbesondere beim Verkauf von Satelliten) durch Identifizierung und Analyse transaktionsbedingter Risiken sowie zeitnahe Beratung der Kollegen im Vertrieb zur Ermöglichung fundierter Entscheidungen.

• Zuarbeit und Teilnahme an Screening Reviews und in Einzelfällen an Sitzungen des Risikomanagement-Ausschusses zur Vertretung der Abteilung LTS.

• Beratung der operativen Fachbereiche innerhalb der transaktionsbedingten Fristen in verschiedenen Bereichen des Wirtschaftsrechts (z. B. Vertragsrecht, Bankgarantien, IT-Recht, IP-Recht sowie öffentliches Vergaberecht inkl. ESA-Vergaberecht).

• Aktives Mitglied des Projektteams in der Vorbereitungsphase nationaler und internationaler Ausschreibungen, bei der Bewertung von Angebotsbedingungen (RFP/ITT) sowie bei der Vertragsgestaltung.

• Identifizierung rechtlicher Risiken und Vorschlagen von Maßnahmen zur Risikominderung oder Problemlösung.

• Erstellung und Verhandlung von Transaktionsdokumenten (Teaming Agreements, Kooperationsverträge, Kauf- und Verkaufsverträge etc.) in Zusammenarbeit mit den relevanten Fachabteilungen sowie Aufzeigen von Lösungswegen zur Risikominimierung.

• Gegebenenfalls rechtliche Unterstützung bei der Erlangung von Absicherungen oder Finanzierungen durch Exportkreditversicherungen (ECA).

• Proaktive Erstellung und Aktualisierung von Standardverträgen.

• Management von Situationen im Zusammenhang mit der Insolvenzverwaltung von Lieferanten sowie Unterstützung beim Claim-Management gegenüber Lieferanten und Kunden.

• Unterstützung des M&A-Teams bei Transaktionen im Bereich Space Systems.

• Festlegung von Strategien zur Vermeidung von Rechtsstreitigkeiten und Unterstützung des Litigation-Teams im Falle von Prozessen.

• Förderung des Rechts- und Compliance-Bewusstseins bei Kollegen in den operativen Bereichen.

• Steuerung und Koordination der Zusammenarbeit mit externen Rechtsberatern.

• Mitwirkung an der Optimierung interner Prozesse.

• Beitrag zur Weiterentwicklung der Organisation der Rechtsabteilung von Space Systems.

• Unterstützung (einschließlich Einarbeitung und Betreuung) von Kollegen und Referendaren/Praktikanten.

Erforderliche Kenntnisse und Qualifikationen

• Abgeschlossenes juristisches Studium (2. Staatsexamen)

• Qualifizierter Rechtsexperte mit internationaler Erfahrung

• Fundierte Kenntnisse im Vertragsrecht und Erfahrung in der Vertragsverhandlung

• Kenntnisse im IP-Recht und im öffentlichen Vergaberecht sind von Vorteil

• Bereitschaft, sich in einer eigenverantwortlichen Organisation einzubringen und weiterzuentwickeln

• Verhandlungssicheres Englisch; Französischkenntnisse sind ein Plus

• Reisebereitschaft

• Fähigkeit zur Bearbeitung von Projekten mit Geheimhaltungseinstufung (German Eyes Only)

• Fähigkeit, effizient unter engen Terminvorgaben zu arbeiten und dabei sicherzustellen, dass

• Risiken für Airbus identifiziert und begrenzt werden

• 5–10 Jahre Berufserfahrung in einem multinationalen Industrieunternehmen oder einer internationalen

  Wirtschaftskanzlei.

• Exzellente zwischenmenschliche Fähigkeiten, insbesondere in Kommunikation und Verhandlung

• Eigenständige Arbeitsweise bei gleichzeitiger Teamfähigkeit

• Methodisches und analytisches Denkvermögen

• Aufgeschlossenheit (Open-minded)
